Overview

Rebecca Hill is a tax partner based in the London office of Kirkland & Ellis International LLP. Rebecca advises on a wide range of UK and international tax matters relevant to funds. This includes advising on fund structuring, cross-border investment structuring and carried interest/co-investment arrangements. Her clients include private equity, real estate, credit and infrastructure funds, as well as fund investors.

Rebecca was featured in the Lawdragon’s “Insights: Private Funds” issue, where she was described as an “up-and-comer on the tax side of private funds work”.

Rebecca has gained her experience working in both a magic circle law firm and a big four accounting practice.

Prior to and since joining Kirkland, Rebecca’s representative matters include:

  • Advising P Capital Partners on the close of PCP Capital Partners V at over €1.7 billion.
  • Advising funds managed by AGG Capital Management on the acquisition of a majority stake in AFE.
  • Advising Highland Europe on the close of its fifth fund, raising €1 billion.
  • Advising JP Morgan Asset Management Closes $2.4B Lynstone Special Situations Fund II. 
  • Advising Livingbridge on the closing of Livingbridge 7, with aggregate capital commitments of £1.25 billion. 
  • Advising Starwood Capital:
    • and SOF-12 Cambridge BidCo Limited, owned by Starwood Funds, on the c. £467.9 million recommended cash offer for RDI REIT.
    • on the intention to launch a Public Takeover Offer for CA Immobilien Anlagen AG.
    • on the acquisition of a 29.42% stake in London-listed RDI Real Estate Investment Trust (REIT). 
  • Advising on the structuring of a variety of funds, with a particular focus on private equity and credit funds.
  • Advising fund investors on tax due diligence, tax negotiations, and on the disposal and reorganization of fund interests
  • Advising on the tax treatment of fund executives in respect of underlying transactions by funds.
  • Extensive tax advisory work on areas relevant for funds, including on the structuring of carried interest and co-investment arrangements.
  • Tax advisory work and due diligence in respect of the acquisition of stakes in fund managers.
  • Advising on a major cross jurisdictional pre-IPO restructuring of a permanent capital vehicle.
