Overview

Nick Hemmingsen is a partner in the Investment Funds Practice Group at Kirkland & Ellis LLP. Nick represents a wide range of asset managers, from emerging and start-up managers to some of the largest and most sophisticated global asset management firms, and other financial services businesses, including investment advisers, private investment funds, family offices, registered investment companies, business development companies and broker-dealers. Nick represents clients on a variety of transactional and regulatory matters, including the formation, offering and ongoing operation of private equity, real estate, credit, venture and hedge funds, as well as fund restructurings and secondary transactions. Nick also advises clients on complex business transactions involving asset managers and other regulated financial services businesses, including mergers and acquisitions, leveraged buyouts, joint ventures, GP minority sales and other strategic transactions.

In addition, Nick represents investment advisers on matters related to formation, structuring and governance, as well as registration with the Securities and Exchange Commission (SEC) and ongoing compliance with federal securities laws and SEC regulations. In connection therewith, Nick has represented investment advisers in over 50 SEC examinations. Nick also regularly advises clients with respect to investment company status issues under the Investment Company Act of 1940.
