John A. Schoenfeld is a corporate partner who has developed his practice around structuring, negotiating, documenting and closing complex leveraged acquisitions, recapitalizations, mergers, dispositions, joint ventures, minority investments and related debt and equity financings and restructurings. John has led transactions in numerous industries, including healthcare, restaurant, insurance, finance, retail distribution, consulting, manufacturing and automotive. In connection with such transactions, which have ranged from several million dollars to in excess of one billion dollars, he has coordinated numerous public and private offerings of debt and equity securities, prepared management equity and employment arrangements as well as assisted public and private companies, and their board of directors, with their general corporate requirements.
John has handled several transactions for Olympus Partners, Versa Capital, HCI Equity, Solamere Capital and their respective public and private portfolio companies. Representative matters include the $755 million leveraged acquisition of the nation's largest restaurant franchisee, which included the issuance of high yield public debt and secured private debt, as well as the $675.0 million debt and equity restructuring of a privately held company, which involved the incurrence of first and second lien debt and the issuance of preferred stock securities, the proceeds of which were used to repay existing debt and finance the tender offer for the company's publicly traded indentures.
