William C. Brashares is a partner in the Private Funds Group, where he concentrates his practice on representing fund sponsors in the formation and management of private investment funds, including buyout, mezzanine, venture, senior debt, industry-specific, and funds-of-funds, as well as the structuring, operation and regulatory compliance of their management companies. He also advises clients in the formation and management of hedge funds, “hybrid” funds and other private investment vehicles. In addition, Beau counsels funds-of-funds and prominent institutional investors in connection with their investments in leading private equity, venture, real estate, and hedge funds.

ABRY Partners – Represented ABRY Partners, most recently in the formation of a $1.9 billion buyout fund, a $1 billion mezzanine fund, a $1.3 billion senior debt fund and previously in the formations of two predecessor buyout funds ($1.4 billion and $1.3 billion), two predecessor mezzanine funds ($750 million and $650 million) and a predecessor senior debt fund ($800 million).
Sentinel Capital Partners – Represented Sentinel Capital Partners in the formation of three middle-market buyout funds ($1.3 billion, $750 million and $325 million).
GM Investment Management – Represented GM Investment Management, most recently in connection with a secondary transaction involving $29 billion of pension assets transferred to an insurer in exchange for a group annuity contract. Represented GMAM Absolute Return Strategies Fund, LLC, a registered hedge fund of funds, in connection with more than $2 billion in hedge fund investments. Represented GM Investment Management as a lead investor in domestic and overseas private equity funds, hedge funds, and direct investments.
KRG Capital Partners – Represented KRG Capital Partners in connection with the formation of two middle-market buyout funds ($2 billion and $450 million).
MidOcean Partners – Represented MidOcean Partners in connection with the formation of MidOcean Partners, LP, a secondary fund formed to acquire €1.2 billion in late stage portfolio investments from Deutsche Bank. Represented MidOcean Partners in connection with the formation of two late-stage buyout funds ($1 billion and $320 million).
Braemar Energy Ventures – Represented Braemar Energy Ventures in connection with the formation of two venture capital funds operating in the energy sector ($350 million and $250 million).
Pershing Square, L.P. – Represented Pershing Square in connection with the formation of its hedge fund, Pershing Square, L.P.
