Michael Woods’s practice focuses on energy-sector transactions including utility, power plant, renewable energy, refinery, and pipeline mergers and acquisitions, private equity investments in energy companies and restructurings.

Representative Matters

Michael represents energy and energy-related companies, including utility companies, independent power producers, oil and natural gas pipelines and oil and natural gas companies, as well as private equity firms and other companies seeking to invest in the energy industry. Michael provides counseling to clients on sophisticated corporate transactions in matters ranging from mergers and acquisitions to supply, transportation and storage agreements.

Mergers & Acquisitions

  • BP's sale of stakes in four Alaska North Slope oil fields and associated oil and gas pipelines to Hilcorp Energy for $1.25 billion, plus a development carry of up to $250 million

  • BP's sale of its global aviation turbine oils business to Eastman Chemical Company

  • Taminco Corporation in connection with its joint venture to develop, build and operate a state of the art facility in St. Gabriel, Louisiana to manufacture choline chloride

  • Sumitomo’s acquisition from a subsidiary of General Electric of a 25 percent stake in the $2 billion 550 megawatt Desert Sunlight Solar Farm

  • BP's sale of pipelines and terminals logistics assets in connection with the sale of its Texas City Refinery to Marathon Petroleum Corp. for up to $2.5 billion

  • Sumitomo’s acquisition of a 50 percent interest in the Ironwood and Cimarron II wind projects from Duke Energy Renewables

  • BP’s sale of propane storage caverns in Huntington, IN and Tuscola, IL to Buckeye

  • BP’s sale of a 200-mile, Houston-area petrochemicals pipeline system to Equistar Chemicals, LP

  • BP’s sale of a package of 33 refined products terminals and 650 miles of products pipelines to Buckeye for $165 million

  • Sale of approximately 50 percent interest in Inland Corporation for $60 million

Commercial Transactions

Michael is regularly retained to negotiate a diverse array of contracts for utilities, independent power producers and industrial customers, including interconnection, supply, storage, terminal throughput and pipeline transportation agreements.
