Kirkland Represents Bain Capital Private Equity and Vista Equity Partners on Acquisition of Vertafore

Kirkland & Ellis LLP represented Bain Capital Private Equity and Vista Equity Partners, which announced today their definitive agreement to jointly acquire Vertafore, the leader in modern insurance technology, from TPG Capital. Additional terms of the transaction were not disclosed, and the deal is expected to close during the third quarter of 2016. More information is available here.

The Kirkland team included corporate partners Matthew Steinmetz, Stuart Casillas, Matthew O’Brien and Matthew Goulding, and debt finance partners Linda Myers, Sonali Jindal and Michelle Kilkenney. Other advisors on the transaction include: BofA Merrill Lynch serving as financial advisor and Ropes & Gray LLP as legal advisor to Vertafore and TPG; Credit Suisse providing the financing commitments and acting as financial advisor to Bain Capital Private Equity and Vista Equity Partners; and EY LLP serving as accounting advisor to Bain Capital Private Equity and Vista.
