Professional Profile

Ashley Young focuses his practice on debt finance transactions. He has over a decade of experience advising clients on complex international cross-border event-driven finance transactions, particularly in the leveraged and corporate acquisition finance space. He also advises on the refinancing and restructuring of those transactions and has experience handling real estate, project and other structured financings and general syndicated lending transactions. His experience includes advising both borrowers (including private equity funds and their portfolio companies) and creditors at all levels of the capital structure. Ashley is named as a top lawyer for leveraged acquisition finance by Chambers Asia Pacific which notes that he is “frequently instructed by various private equity firms and sponsors”. He is also described as “superb”, “thoughtful” and “efficient” and is recommended by The Legal 500 Asia Pacific.

Advised FCI, a leading Singapore headquartered manufacturer of connectors and interconnect systems, on a $250 million syndicated term loan raised in the US institutional loan market, the proceeds of which were used to fund a distribution to its shareholders and to pay for expenses in connection with the issuance. Goldman Sachs International, Merrill Lynch, Pierce, Fenner & Smith Incorporated, HSBC Securities (USA) Inc. and J.P. Morgan Securities LLC acted as joint lead arrangers and joint lead bookrunners on the financing

Advised 21st Century Fox, in its sale of a 47% stake in Star China TV to its joint venture partner, China Media Capital

Advised J.P. Morgan, as financial adviser, in connection with SCA Group Holding B.V.’s US$1.1 billion (HK$8.8 billion) proposed voluntary conditional cash offer for shares of Vinda International Holdings. SCA Group Holdings B.V., a subsidiary of Svenska Cellulosa Aktiebolaget SCA, is based in the Netherlands and designs, produces, and supplies packing products as well as personal care products

Advised CICC, as financial adviser, in Wanda Commercial Properties (Hong Kong) Co., Limited (a subsidiary of Dalian Wanda Group Co., Ltd)’s US$117 million (HK$913 million) proposed purchase of a controlling interest in, and possible unconditional mandatory cash offer for shares of, Hengli Commercial Properties (Group) Limited

Advised Trisonic International Limited on the financing aspects of its US$264 million (HK$2,062 million) proposed privatization of China Vanadium Titano-Magnetite Mining Company Limited by way of a scheme of arrangement

Advised the founder of China Nuokang Bio-Pharmaceutical Inc. on the financing aspects of his pending going-private acquisition of the company

Advised the special committee of NASDAQ-listed Focus Media in connection with a US$3.7 billion acquisition by Focus Media’s chairman, The Carlyle Group, FountainVest, CITIC Capital and China Everbright. This deal was named “2013 Private Equity Deal of the Year” by China Law & Practice, “2014 Private Equity Deal of the Year” by IFLR and “2014 Global M&A deal of the Year: China private equity’ by The American Lawyer.

Advised the 7 Days Group Holdings Limited consortium (comprising of founders, existing shareholders and sponsors including The Carlyle Group and Sequoia Capital China) on the financing aspects of their proposal to acquire the 7 Days Inn Group in a going-private transaction

Advised Standard Chartered Bank, as financial adviser, in Famous Commercial Limited’s (a subsidiary of the Gemdale Corporation) US$384 million (HK$2,997.9 million) proposed purchase of a controlling interest in, and possible unconditional mandatory cash offer for shares of, Frasers Property (China) Limited

Advised Citigroup, as financial adviser, in China National Pharmaceutical Group Corporation's HK$600 million possible pre-conditional voluntary conditional cash offer for Winteam Pharmaceutical Group

Advised Citigroup, as financial adviser and lender, in China Petroleum & Chemical Corporation (Sinopec) and ENN Energy Holdings Limited (ENN)’s US$2,140 billion (HK$16,699 billion) unsolicited pre-conditional joint voluntary cash offer for China Gas Holdings Limited

Advised Citigroup Global Markets Asia Limited and other Citi entities on a bridge loan financing raised in connection with the US$2.14 billion (HK$16.699 billion) joint offer by ENN Energy Holdings and China Petroleum & Chemical Corporation (Sinopec) for China Gas Holdings, listed on the Hong Kong stock exchange, by way of an unsolicited pre-conditional voluntary cash offer. A Kirkland team led by Nicholas Norris also represented Citigroup as financial adviser to the bidder consortium

Advised TPV Technology Limited (Hong Kong) on financing aspects of its purchase of a 70 percent interest in a joint venture which will own and control the entire television business of Koninklijke Philips Electronics N.V. in Europe and certain South American countries
