The Dow Chemical Company, Chancery Court of Delaware: Represented The Dow Chemical Company in its defense of an action by Rohm and Haas seeking specific performance of a $15 billion cash merger agreement. On the first day of trial, Dow achieved a settlement in which Rohm and Haas shareholders agreed to reduce the cash component of the merger consideration by $3 billion.
The Dow Chemical Company v. Reinhard and Kreinberg, U.S. District Court, Eastern District of Michigan: Represented The Dow Chemical Company in actions against a top executive and a member of the Board of Directors who attempted to sell the company in a massive leveraged buyout without authorization from management or the Board. After extensive discovery, the case settled when the executives admitted their misconduct.
