Professional Profile

Elizabeth Deeley is a litigation partner based in the San Francisco office. She has a wide-ranging complex litigation practice and has handled a variety of matters including class actions involving unfair business practices, antitrust, securities, civil RICO, fraud and consumer protection issues; contract, fraud and other business tort disputes; and employment discrimination and civil rights lawsuits. Elizabeth has appeared before federal and state trial and appellate courts and arbitration panels across the country. Elizabeth has also represented clients in regulatory inquiries and in investigations before the U.S. Securities and Exchange Commission, U.S. Department of Justice, and NASD. She represents clients in a diverse array of industries, including financial services and investment, software and technology, communications, food, children's products, health and fitness, pharmaceuticals and medical equipment.

Elizabeth is also dedicated to ensuring the provision of pro bono services to clients in need. She serves as the Pro Bono Coordinator for Kirkland's Bay Area offices and is a member of the firmwide Pro Bono Committee. In addition to overseeing Kirkland's pro bono program, she personally has represented pro bono clients in a variety of litigation matters, including employment discrimination, immigration and civil rights cases.

In 2011, the Daily Journal recognized Elizabeth in its annual list of Top Women Lawyers in California and in 2010, the National LGBT Bar Association recognized Elizabeth as one of the Best LGBT Lawyers Under 40.

Representative Matters

Facebook, Inc. Currently defending Facebook and its officers and directors sued in multiple federal and state courts in shareholder class actions and derivative lawsuits challenging conduct in connection with Facebook's IPO.

Facebook, Inc. Defended Facebook in a federal antitrust lawsuit alleging illegal tying, group boycott and monopolization of social media advertising. Defeated the plaintiff's preliminary injunction motion and won a motion to dismiss all claims.

OptionsXpress Holdings, Inc. Represented client in shareholder class action litigation challenging the client's $1 billion merger with the Charles Schwab Corporation.

UTC Fire & Security. Trial counsel in a two-week arbitration to recoup damages for fraud and breach of contract in connection with client's acquisition of a fire security company. Won damages award of over $33 million.

24 Hour Fitness. Lead counsel for client in multiple nationwide and state consumer class action lawsuits involving gym access rights and termination fees.

Lincoln National Corporation. Lead counsel for Board members and officers in a lawsuit alleging fraud and forgery. Successfully moved to dismiss the lawsuit with prejudice. Tenth Circuit affirmed dismissal on appeal.

FTV Capital. Trial counsel in an arbitration involving alleged fraud and violations of the U.S. Patriot Act and foreign anti-money laundering laws. The three-member arbitration panel unanimously dismissed all claims and awarded costs to the client.

Morgan Stanley. Defended client in mass securities (see In re IPO Securities Litigation) and antitrust (see Credit Suisse First Boston Ltd. v. Billing) class action lawsuits in the SDNY challenging the IPO allocation process, including coordination with over 300 cases involving dozens of defendants. Defended client in multiple high-stakes securities arbitrations. Won arbitration tried to award and settled others on favorable terms.

Qwest Communications. Trial counsel in a three-week bench trial on fraud and breach of contract claims. The court returned a decision in the client's favor on all issues.

Milnot Holding Corporation. Defended client against the Federal Trade Commission's effort to block the merger of its Beechnut baby food company with Heinz. Defeated preliminary injunction motion before the D.D.C. Decision overturned on appeal.

Shirley Cohen. Court-appointed trial counsel for plaintiff in a federal employment discrimination lawsuit. After a nine-day trial, the jury returned a $3.5 million verdict for plaintiff.
