Kendall Burns

Since joining Kirkland, Kendall has been involved in the following matters:

• Represented Blackstone and Brookfield in connection with a combination term loan and notes offering of $3,900,000,000 in 2021.
• Represented Macquarie Infrastructure in connection with a term loan of $1,400,000,000.
• Represented Cypress Creek Renewables in connection with a letter of credit facility and loans pursuant to various loans towards the operations of a solar photovoltaic power plant.

Prior to joining Kirkland, Kendall was involved in the following matters:

• Represented KKR in connection with a secondary offering of its entire holding of ordinary shares in Ambea AB (publ), raising gross sale proceeds of approximately SEK 680.6 million.
• Represented the underwriters in six debt offerings by KfW Group of $4,000,000,000 in 2020.
• Represented Lincoln Financing Holdings Pte. Limited and its affiliates in connection with an offering of additional senior secured notes by Lincoln Financing S.a r.l. The offering consisted of a Rule 144A and Regulation S offering of €500,000,000 of 3.625% senior secured notes due 2024, which were issued as a tap under the existing indenture governing the company's €750,000,000 of 3.625% senior secured notes due 2024 and €600,000,000 of floating rate senior secured notes due 2024.
• Represented Q-Park, a KKR portfolio company and a first time issuer, in connection with a Rule 144A and Regulation S offering by Q-Park Holding I B.V. of €1,455,000,000 in aggregate principal amount of senior secured notes, comprising of €425,000,000 aggregate principal amount of 1.5% senior secured fixed rate notes due 2025, €630,000,000 aggregate principal amount of 2% senior secured fixed rate notes due 2027 and €400,000,000 aggregate principal amount of senior secured floating rate notes due 2026.
• Represented Aston Martin in connection with the issuance of the delayed draw notes associated with its previous offering of $150,000,000 in aggregate principal amount of 12% senior secured split coupon notes due 2022 and up to $100,000,000 in aggregate principal amount of 12%/15% delayed draw senior split coupon notes due 2022.
• Represented a public company in connection with a redemption of previously issued notes. Tasks included including drafting the confirmation of redemption, redemption notice, redemption officer's certificate and the satisfaction and discharge officer's certificate and performing various other closing tasks.
• Represented a foreign company in connection with a private placement under Section 4(a)(2).
• Represented a public company in connection with an offering of over $1,000,000,000 of senior secured notes.
• Represented APAX Partners and Silver Lake negotiating ample amounts of NDAs.
