Matt Jones is a partner in the Chicago office of Kirkland & Ellis LLP, who focuses his practice on executive compensation. Matt takes a practical, thoughtful approach to helping clients solve complex problems. He has significant experience advising on all executive compensation aspects of both public and private mergers, acquisitions, IPOs, and similar transactions, including issues arising under Code Section 280G and Code Section 409A.
Matt also has significant experience assisting clients with SEC reporting obligations relating to executive compensation arrangements, specifically the CD&A on other Item 402 requirements.
Matt directly counsels boards of directors, compensation committees, and senior management of public and private clients on the establishment of executive compensation arrangements and related corporate governance issues. He also works hands on with the legal, HR, finance, risk, compliance, and audit functions at those clients on administrative and compliance issues related to equity compensation, annual and long-term incentive, and non-qualified retirement plans, and employment, severance, and change in control agreements and plans.
