David J. Marcinkus is a corporate partner in the Washington, D.C., office of Kirkland & Ellis LLP. Dave advises investment companies, boards, investment advisers and private credit and private equity sponsors on regulatory and compliance issues under the Investment Company Act and the Investment Advisers Act.

Prior to returning to private practice, Dave was a Branch Chief in the Chief Counsel’s Office of the Division of Investment Management. While at the SEC, Dave was involved in nearly every significant, novel or complex matter affecting closed-end funds and BDCs. In particular, Dave has extensive experience with affiliated transaction and co-investment issues, often being consulted by Exams (formerly OCIE) on such matters.

Dave has experience with investment company status issues, having worked on a number of high-profile status matters while on the SEC staff, including applications for asset-light tech companies such as Lyft, Snowflake and Upstart.

While on the SEC staff, Dave was also a member of the offering reform and fair value rulemaking teams.
