Funds managed by Apax Partners on the acquisition of the PIB Group, a leading independent specialist insurance intermediary.
Prior to joining Kirkland, Joshua worked on the following matters:
Advising a non-EU asset manager on the EU and UK rules relating to the authorisation of AIFMs.
Advising a non-EU asset manager on process for registering non-EU funds for marketing in the UK under the UK national private placement regime, undertook registration and advised on ongoing compliance obligations.
Advising a large EU financial market infrastructure on the impact of Brexit on its trading venues, CCPs, CSD, trade repository and data reporting service providers. Led meeting with the client and UK regulators to discuss restructuring.
Advising a Middle Eastern state-owned oil group on the requirements under the EU Market Abuse Regulation in respect of their securities listings in the EU. Undertook a corporate governance review and drafted the group’s insider trading policy.
Advising a large EU bank on the impact of Brexit on its lending, trading and advisory services, with a particular focus on issues around EU and UK market access.
Advising a corporate group on the application of the EU Market Abuse Regulation and Transparency Directive disclosures in connection with a share pledge collar financing arrangement with a US investment bank.
Advising an asset manager on the impact of MiFID2 and assisted in implementing the changes being made to the business.
Advising an asset manager on the application the small AIFM thresholds.
Reviewing a US bank’s fund depositary contractual framework and revising it in response UCITS V implementation.
