Louis Rabinowitz is a capital markets partner in the Hong Kong office of Kirkland & Ellis. His practice focuses on capital markets transactions, representing issuers and underwriters in SEC-registered, Rule 144A and Regulation S offerings of high yield and investment grade debt, convertible bonds and equity securities. He has particular expertise in high yield bond offerings. He is experienced in securities offerings by issuers based in Australia, Cambodia, China, Hong Kong, India, Indonesia, Japan, Macau, the Philippines and Vietnam. Representative Matters
Since joining Kirkland, Louis’ representative matters have included:
- Wynn Macau, Limited (HKSE: 1128), a developer, owner and operator of destination casino resorts in Macau, on its issuance of US$600 million of convertible bonds due 2029 with an interest rate of 4.5%
- TH International Limited (Tims China), the master franchisee and operator of Tim Hortons coffee shops in China, on its business combination with Silver Crest Acquisition Corporation (NASDAQ: SLCR), a publicly-traded special purpose acquisition company. The transaction values the combined business at approximately US$1.4 billion. This transaction was named “Deals of the Year 2022” by China Business Law Journal
- Asia Innovations Group Limited (ASIG), a leading mobile social company across emerging markets, on its proposed business combination with Magnum Opus Acquisition Limited (NYSE: OPA), a special purpose acquisition company. The business combination provides for an equity valuation of $2.5 billion for the combined company. This transaction was named “Deals of the Year 2022” by China Business Law Journal
- The ad hoc committee of noteholders in a successful restructuring of US$450 million senior notes issued by Golden Wheel Tiandi Holdings Company Limited (HKSE: 1232). The group principally engages in property development in the PRC. The restructuring was implemented through a scheme of arrangement in the Cayman Islands
- Sequoia China Infrastructure Fund on its investment in GDS Holdings Limited (NASDAQ: GDS; HKSE: 9698), a developer and operator of high-performance data centers in China, through the purchase of $200 million 0.25% convertible senior notes due 2029. Sequoia China Infrastructure Fund and GDS also entered into a strategic cooperation agreement to pursue future collaboration
- The ad hoc committee of noteholders in a successful restructuring of US$1.3 billion senior notes issued by Modern Land (China) Co., Limited (HKSE: 1107). The group principally engages in property development in the PRC. This restructuring was implemented through a scheme of arrangement in the Cayman Islands and the scheme was recognized as a main proceeding under Chapter 15 of the U.S. Bankruptcy Code. This transaction was named “Deals of the Year 2022” by China Business Law Journal
- Yestar Healthcare Holdings Company Limited in the restructuring of its New York law governed US$200 million senior notes through a scheme of arrangement in the Cayman Islands
- TH International Limited (Tims China), the exclusive master franchise of Tim Hortons coffee shops for Restaurant Brands International Inc. (TSX: QSR) (NYSE: QSR) in China, on a convertible note financing by a leading global asset manager
- Macquarie Capital Ltd., the sole global coordinator, sole bookrunner and initial purchaser, on the Rule 144A/Regulation S offering of 50,000,000 Global Depositary Shares, representing 50,000,000 new common shares, by Panjit International Inc., one of the top 20 global discrete power semiconductor companies and ranked among the top ten diode manufacturers in the world, on the Taiwan Stock Exchange that raised US$151 million
- Poema Global Holdings Corp. (NASDAQ: PPGH), a special purpose acquisition company affiliated with Princeville Capital, on its business combination with Gogoro Inc., a global technology leader in battery swapping ecosystems that enable sustainable mobility solutions for cities
- Artisan Acquisition Corp. (NASDAQ: ARTAU), a special purpose acquisition company founded by renowned Hong Kong cultural entrepreneur Adrian Cheng, on its business combination with Prenetics Group Limited, a global leader in genomic and diagnostic testing. This transaction was named “Deals of the Year 2022” by China Business Law Journal
- Magnum Opus Acquisition Limited (NYSE: OPA), a publicly traded special purpose acquisition company, on its proposed business combination with Forbes Global Media Holdings Inc., the iconic business information brand
