At Kirkland, Mark has been involved in the following matters:

• Lux Vending LLC dba Bitcoin Depot® in its definitive business combination with GSR II Meteora Acquisition Corp. (NASDAQ: GSRM), a special purpose acquisition company.
• Seattle Reproductive Medicine, a leading fertility medicine practice based in Seattle, in its joining of the Pinnacle Fertility network.
• Fullscript, a portfolio company of HGGC and Snapdragon Capital Partners, in its acquisition of Emerson Ecologics. 
• The management team of Lucid Energy Group II in the approximately $1.6 billion sale of Lucid Energy Group II to a joint venture controlled by affiliates of Riverstone and Goldman Sachs.
• Sable Permian Resources (f/k/a Permian Resources), a privately held exploration and production company backed by The Energy & Minerals Group, OnyxPoint Global Management, Sable Management, First Reserve and other investors, in connection with a recapitalization transaction that included an equity capital raise of approximately $750 million, an optional equity purchase amount of approximately $350 million, a debt for equity exchange of approximately $325 million of secured and unsecured indebtedness and a debt for equity exchange of approximately $250 million of junior subordinated notes.
• LINN Energy, LLC and its affiliates in its Chapter 11 cases filed in the United States Bankruptcy Court for the Southern District of Texas. LINN is a leading independent oil and natural gas exploration and production company with operations in 12 states and eight discrete U.S. regions.
• CSL Capital Management in its joint venture with Baker Hughes and Goldman Sachs’ merchant banking division combining the parties’ pressure pumping businesses under the BJ Services brand.

Outside of Kirkland, Mark was involved in the following matters:

• Represented acquirers and sellers in various healthcare M&A transactions.
• Represented acquirers and sellers in various aerospace & defense M&A transactions.
• Represented a private equity fund and its portfolio insurance holding company in the acquisition of life insurance companies for aggregate purchase prices of approximately $2.6 billion.
• Represented a private equity fund in several asset acquisitions of life settlements portfolios totaling approximately $1.2 billion.
• Represented a public insurance company in the sale of its life insurance business for approximately $615 million.
• Represented a public insurance company in the sale of its retirement plans business for approximately $400 million.
• Represented a major investment bank in the sale of a life settlements portfolio to a private equity fund for approximately $100 million.
• Represented the individual owner of a general managing agent in the sale of the company for $55 million.
• Represented a private equity fund in the acquisition of a catastrophe-securities investment manager.
• Represented a public insurance company in the sale of a broker-dealer subsidiary.
• Represented a life insurance company in its private placement offering raising $1 billion of primary equity commitments from investors.
• Represented a private equity fund’s $1 billion issuance of profit participating notes on the Irish Stock Exchange.
• Represented an investment bank in borrowing $1 billion from another investment bank, structured as a repo transaction.
• Represented a mortgage servicer in a $250 million total return swap covering mortgage advances.
• Represented an investment bank in a $3 billion hedging transaction, involving four counterparties and two types of hedging structures.
