Kirkland & Ellis Represents Vista Equity Partners on the Takeover of Advanced Computer Software

Kirkland & Ellis LLP represents Vista Equity Partners, a leading private equity firm focused on software, data and technology-enabled businesses, which today announced a recommended cash acquisition of Advanced Computer Software Group plc (“ACS”), a UK publicly listed company.

Under the terms of the offer, ACS shareholders will receive 140 pence per share in cash, or a total of approximately £725 million.   The transaction which will be funded by debt and equity will be implemented by way of a scheme of arrangement.  ACS is a leading provider of software and IT services to the public, private and not for profit sectors which enable organisations to improve efficiency, reduce costs and drive growth.
 
The Kirkland team includes corporate partners Gavin Gordon, David Breach, Stuart Casillas and James Howe and debt finance partners Sonali Jindal, Stephen Lucas, Priya Pai and Sam Norris.
 
Other advisors on the deal include  Goldman Sachs International and Morgan Stanley & Co. LLC, as financial advisers to Vista and its Bidco;  Morrison & Foerster LLP (David Bresnick) as legal adviser to ACS and Ashurst LLP (Mark Vickers & Tom Mercer) as legal adviser to Goldman Sachs International.
