Kirkland Advises Bain Capital Private Equity on $3.2 Billion Acquisition of Sealed Air’s Diversey Care

Kirkland & Ellis LLP advised Bain Capital Private Equity on its carve-out acquisition from Sealed Air (NYSE: SEE) of Sealed Air’s Diversey Care division and the food hygiene and cleaning business within Sealed Air’s Food Care division (together “New Diversey”) for approximately $3.2 billion. New Diversey will be a leading hygiene and cleaning solutions company that integrates chemicals, floor care machines, tools and equipment, with a wide range of technology based, value-added services, food safety services and water and energy management. New Diversey employs approximately 8,600 people globally. The transaction, announced today, is subject to regulatory approvals and other customary closing conditions.
