Kirkland Represents Francisco Partners and Procera Networks in Agreement to Acquire Sandvine Corp.

Kirkland & Ellis LLP represents Francisco Partners and Procera Networks, Inc., whose affiliate PNI Canada Acquireco Corp. announced today its agreement to acquire all of the issued and outstanding common shares of network policy control solutions provider, Sandvine Corporation (TSX: SVC), for cash consideration of CAD$4.40 per share. The price per share implies an aggregate fully-diluted equity value for Sandvine of approximately CAD$562 million.

The transaction is subject to shareholder approval and other customary closing conditions. Following closing, Sandvine common shares will be de-listed from the TSX and no longer traded publicly. More information on the transaction is available here.
