Energy Transactions

Kirkland's energy, transactional and restructuring lawyers provide counseling on sophisticated corporate transactions, including mergers and acquisitions, private equity investments, debt finance, joint ventures, commercial transactions, bankruptcies, and restructurings. As a result, our lawyers are involved in all aspects of corporate transactions, including due diligence investigations, contract negotiations and long-range planning.

Recent years have seen a number of mergers and acquisitions and restructurings arising from changes in the energy industry and economy. Kirkland's experience includes public company mergers and acquisitions, large divestiture programs for integrated oil companies, power plant purchases and sales, strategic investments, and major industry restructurings.

Renewable Energy, Clean Tech and Climate Change

The unprecedented shift in the United States and around the world towards the development and deployment of clean energy technology has given rise to substantial opportunities and risks in the energy industry. Kirkland advises clients on development, financing, transactional, commercial, regulatory and other matters in the renewable and clean technology industries. Kirkland also advises clients on the ever-changing regulatory landscape associated with climate change, including the various state and federal incentive programs for renewable and clean technology.

Energy Litigation

Kirkland's energy lawyers have a long history of successfully handling complex energy litigation matters. Among others, the Firm has handled a series of high profile cases concerning construction issues involving equipment suppliers, architects/engineers, construction managers, and special litigation committees. Kirkland has also handled major contract litigation for independent generators and for partners in gas storage projects. In addition, Kirkland has litigated issues of "force majeure" under power purchase and fuel supply agreements. We have also represented numerous fuel suppliers in disputes with electric utilities. In cases involving natural gas, Kirkland has litigated "take or pay" and antitrust issues. Kirkland lawyers routinely represent clients before the circuit courts and the U.S. Supreme Court on review of orders of the Federal Energy Regulatory Commission.
