• Conducted numerous internal investigations and represented multinational pharmaceutical and medical device companies in FCPA investigations conducted by the U.S. Department of Justice (DOJ), the SEC, and Chinese authorities, including the State Administration for Market Regulation (SMAR), the State Food and Drug Administration (SFDA), and the Ministry of Public Security (MPS/PSB)
• Advised multinational pharmaceutical and healthcare companies on internal investigations related to various issues including embezzlement, sales data manipulation, self-dealing, product registration, sponsorships and grants, third party and distributor misconduct in Asia, including China, India, Taiwan, Hong Kong, Singapore, Vietnam, Indonesia, Malaysia, Japan
• Represented Special Committee of Luckin Coffee related to allegations of fraudulent accounting by senior executives in advance of the Company’s IPO
• Lead Asia anti-corruption counsel to leading real estate investment trust
• Successfully resolved allegations of complex accounting fraud brought by the U.S. Securities and Exchange Commission (SEC) against a China-based agricultural company
• Represented the Audit Committee of a U.S.-listed Chinese peer-to-peer lending company in response to short-seller allegations related to accounting fraud and other misconduct
• Represented the Audit Committee of a U.S.-listed Chinese insurance company in response to short-seller allegations that the Company engaged in a years-long pattern of insider dealing and undisclosed related party transactions
• Conducted numerous internal investigations on behalf of the Audit Committee of a Hong Kong-listed company in response to numerous whistleblower complaints related its China-based business
• Counseled a U.S.-based medical device company on response to an investigation by the State Administration for Market Supervision related to improperly registered products in China
• Represented a major gaming industry client in an FCPA and anti-money laundering investigation conducted by the DOJ
• Served as part of the independent investigator team appointed pursuant to a negotiated resolution agreement between the World Bank Group and a major multinational corporation with operations in over 100 countries

Transactional & Compliance Matters

• Anti-corruption and international risks counsel to multiple global private equity firms regarding investments across Asia-Pacific, including China, India, Singapore, Vietnam, South Korea, Japan, Malaysia, Australia, and New Zealand
• Conducted global risk assessments on behalf of multiple global private equity sponsors involving portfolio companies and investments worldwide
• Represented L Catterton Asia Acquisition Corp. (NASDAQ: LCAA), a special purpose acquisition company formed by affiliates of L Catterton, a leading global consumer-focused investment firm, on its business combination with Lotus Technology Inc., a leading global luxury electric vehicle maker that operates under the iconic British brand, Lotus. The combined business is listed under the ticker symbol “LOT”. The transaction values the combined business at a pro forma enterprise value of approximately US$5.4 billion
  

Cross-Border Litigation

• Represented a major Chinese tire manufacturer in numerous product liability cases in multiple jurisdictions in the U.S.
• Represented Syngenta in a multi-billion dollar cross-border litigation alleging damages related to the commercialization of a genetically modified trait in the U.S. before receiving approval from Chinese authorities
• Secured US$500 million reduction in purchase price settlement related dispute over Abbott Laboratories’ proposed $5.8 billion acquisition of Alere, Inc. involving significant issues in Asia
• Secured favorable settlement for major U.S. chemical company in a Chinese litigation related to non-competition issues following the departure of the Company’s head of China to a major competitor
• Secured dissolution of failed U.S. joint-venture relationship on behalf of a publicly-listed Chinese international shipping company following disputes with the company’s strategic partner
• Represented major bike-sharing company in shareholder dispute litigation that could have prevented additional fundraising necessary to keep the company running
• Trial counsel for plaintiffs in a successful challenge to voting restrictions in North Carolina
