Practising Law Institute: Spin-offs 2018
On February 12, 2018, Practising Law Institute (PLI) will host a half-day event to provide an in-depth perspective on the factors that drive recent trend towards business disaggregation, the fiduciary duties of directors in considering and approving spin-offs and the latest developments in the complex requirements that apply to spin-offs under federal securities and tax laws.
Corporate partner Daniel Wolf will speak on the panel “The Decision to Separate,” which explores differences among separation transactions (spin-offs, equity carve-outs and reverse Morris trust), the business and financial factors behind separations and the fiduciary duties of directors and the role of advisers.
