Since joining Kirkland, Ethan has been involved in the following representative matters:
Canada Pension Plan Investment Board (CPP Investments) in its $1.75 billion investment to support EQT’s AI Infrastructure strategy, led by global data center developer and operator EdgeConneX.
Canada Pension Plan Investment Board (CPP Investments) in its role as (i) acquiror (in consortium with KKR) of a controlling equity interest in Sempra Infrastructure Partners, a leading North American energy infrastructure company, for $10 billion in cash proceeds to Sempra and (ii) a joint venture partner in Sempra Infrastructure with KKR, Sempra and ADIA in a transaction that values Sempra Infrastructure at $31.7 billion enterprise value.
Enstor in its acquisition of Black Bear Transmission, a provider of natural gas, from Basalt Infrastructure Partners.
Morgan Stanley Infrastructure Partners in its acquisition of a 47.5% interest in Greenlight Electricity Centre, a $4.6 billion gas-fired power generation facility, from OPTrust.
BlackRock, Inc. (NYSE: BLK), Global Infrastructure Partners and HPS Investment Partners on a joint venture with Meta Platforms, Inc. (Nasdaq: META) to develop and own a data center campus with 1 GW of compute capacity in El Paso, Texas. The parties have committed to fund their respective pro rata share of the approximately $14 billion in total development costs for the buildings and long-lived power, cooling and connectivity infrastructure at the campus.
Advised KKR vehicles on a transaction to acquire 50% of a 1.4-GW solar portfolio in North America from TotalEnergies. This transaction values the portfolio at an enterprise value of $1.25 billion and covers six utility-scale solar assets with a combined capacity of 1.3 GW and 41 distributed generation assets totaling 140 MW, primarily in the U.S.
CoreWeave (Nasdaq: CRWV) in its proposed $9 billion all-stock acquisition of Core Scientific (Nasdaq: CORZ), a provider of data center infrastructure.
Magnolia Oil & Gas in its $4.06 billion acquisition of WildFire Energy.
Rockcliff Energy III LLC in its acquisition of Pine Wave Energy Partners LLC’s East Texas assets located in San Augustine and Shelby Counties, Texas.
Vitol in the sale of its U.S. upstream company, VTX Energy Partners, to Verde Operating Company.
Prior to joining Kirkland, Ethan was involved in the following representative matters:
Natural gas pipeline companies in administrative proceedings at FERC related to cost-of-service rates and FERC ratemaking policy, including income tax allowance policy and return on equity policy.
Tax equity investors in passive interest analyses and the drafting of consent rights pursuant to FERC precedent.
