Overview

Logan Carroll is a corporate associate in the New York office of Kirkland & Ellis LLP. He advises private fund sponsors on the formation, structuring, operation and regulatory compliance. His practice spans the full range of fund sponsor representation, including fund documentation, investor negotiations, co-investment structuring and ongoing fund governance matters.

Logan has experience representing sponsors across a wide variety of strategies, including energy, logistics, infrastructure, private equity, credit, real estate and venture capital in fund formations ranging in size from sub-$100 million first-time funds to flagship vehicles exceeding several billion. He regularly works with emerging managers on spin-out structuring, management company formation, seed capital and anchor investor arrangements, and inaugural fundraises, as well as with established, multistrategy firms on successor fund formations.

In addition to his funds practice, Logan dedicates a portion of his time to the Firm's practice innovation and legal technology efforts. In this capacity, he designs and builds AI-powered tools, automated workflows and repeatable technology solutions that embed expertise into scalable practice group specific systems. This work focuses on streamlining complex legal processes such as diligence, side letter and LPA comment generation and standardization, transfer agreement drafting, ancillary document generation, obligation tracking and investor-facing deliverables so that institutional knowledge is available, easily found and applied across transactions when similar issues are presented.
