• A consortium of investors led by Starwood Capital Group, Sixth Street and SSW Partners, and which also includes QIA, Warburg Pincus, and the Founders of ESR Group (1821.HK) (ESR), on their proposal to privatize ESR by way of scheme of arrangement from the Hong Kong Stock Exchange

Public Takeovers

• Advising Blackstone on the voluntary conditional general cash offer made by Goldman Sachs to acquire all the issued shares of SOHO China Limited (410.HK) which valued the listco at HKD26 billion
• Advising New Modern Home Limited on the privatisation of Nature Home Holding Company Limited (2083.HK) which valued the listco at HKD2.3 billion
• Advising Step Famous Investment Limited on the voluntary conditional general cash offer made by Able Capital Partners Limited to acquire all the issued shares of Rivera (Holdings) Limited (281.HK) which valued the listco at HKD1.4 billion and the subsequent placing down arrangement

IPO

• Advising Ant Group Co., Ltd. in its proposed USD34.5 billion IPO in Hong Kong and Shanghai
• Advising Medlive Technology Co., Ltd. in its USD540 million IPO in Hong Kong

PE M&A

• Advising Blackstone in numerous real estate transactions (including post-deal asset management) throughout Asia (with a focus in China, Hong Kong and India), including:
  
  • joint venture with Storefriendly in the acquisition of 5 industrial buildings in Hong Kong
  • acquisition of numerous cold storage warehouses and logistics warehouses in PRC and India
  • hotel IPO of Ventive Hospitality Limited in India
• Advising KKR in its joint venture with Weave Living on acquisition of multi-family assets in Japan

Public M&A

• Advising CapitaLand Limited (C31.SG) in its sale of 24.09% interests in Central China Real Estate Limited (832.HK) for approximately HKD3 billion
• Advising SUAL Partners Limited in relation to the Takeovers Code issues of its purchase of 7% interests in United Company Rusal PLC (486.HK) from Dimosenco Holdings Co. Limited for approximately USD503 million
• Advising Singamas Container Holdings Limited (716.HK) in its very substantial disposal of its dry freight containers business to China COSCO Shipping Corporation Limited for approximately RMB3.8 billion
• Advising Hong Kong International Construction Investment Management Group Co., Limited (687.HK) in its major disposal of a parcel of land in Kai Tak Area, Hong Kong and exiting bank loan to Wheelock & Company Limited for approximately HKD4 billion
• Advising C C Land Holdings Limited (1224.HK) in its joint venture with Meyer Bergman to acquire and redevelop Whiteleys Centre, Queensway, London
