Patrick E. Corrigan
Overview
Patrick Corrigan is a corporate partner in the Houston office of Kirkland & Ellis LLP. Patrick’s practice focuses on advising clients on a wide variety of commercial transactions including both domestic and cross-border mergers, acquisitions and strategic investments, projects and infrastructure, divestitures and private equity and energy and resources. Patrick has extensive experience in the oil and gas, LNG, power and mining sectors having advised clients at all stages on a variety of projects in multiple jurisdictions around the globe. Patrick has previously spent time as a secondee at Woodside Energy in its Shipping and LNG Marketing Team and ConocoPhillips in their general corporate team.
Patrick has previously worked in both Japan and Australia and is dual qualified to practice in Texas and Australia.

Representative Matters
Since joining Kirkland, Patrick has represented clients in the following matters:
- Morgan Stanley Infrastructure Partners in its acquisition of a majority stake in Crowley Wind Services, a leader in offshore wind energy solutions in the United States.
- Global Infrastructure Partners in its investment in RIO Grande LNG's $18.4 billion project financing.
- GEP Haynesville, LLC in its $1.85 billion sale to Southwestern Energy (NYSE: SWN).
- Tailwater Capital, together with its portfolio company, Blue Tide Environmental, in the sale of a 49% interest in Blue Tide Environmental to Pennzoil-Quaker State, a subsidiary of Shell plc, to establish a joint venture that builds, owns and operates a global network of lubricant recycling facilities.
- Hatch Royalty LLC in Kimbell Royalty Partners, LP's (NYSE: KRP) approximately $290 million purchase of its mineral and royalty interests located in the Permian Basin.
- General Motors Co. (NYSE: GM) in its strategic investment in Queensland Pacific Metals Limited.
- Vista Equity Partners in numerous transactions including in relation to its acquisition of BetterCloud, Inc and its recapitalization of iCIMS’ with TA Associates.
- Rhodium Enterprises, Inc. in its proposed listing on NASDAQ through its definitive merger agreement with SilverSun Technologies, Inc. (NASDAQ: SSNT).
- Integrity Marketing Group, a HGGC and Harvest Partners portfolio company, in relation to its acquisition of Lion Street.
- Blackstone Infrastructure Partners in its $3 billion equity investment in Invenergy Renewables Holdings LLC in one of the largest renewables investments in North American history.
- Parthenon Capital, in its $900 million acquisition of Kroll Bond Rating Agency.

LNG and Oil and Gas
- JOGMEC in relation to its participation in the proposed Arctic Transshipment Project for the transport of LNG from the Yamal and Arctic 2 LNG Projects.
- First Gen Corporation in relation to the development of the Batangas LNG terminal in the Philippines.
- Marubeni in relation to the sale of its interest in the proposed Port Kembla LNG Import Terminal in Australia.
- Darwin LNG in relation to backfill arrangements for the Darwin LNG Project.
- Advising a variety of Japanese and Korean buyers and trading houses (including Sojitz, Toyota Tusho, Chugoku Electric, KOGAS and Diamond Gas International) in relation to the negotiation, drafting and interpretation of new and existing LNG sale and purchase agreements.
- The North West Shelf Joint Venture on the transition from joint to equity lifting of LNG and pipeline gas from the North West Shelf Project.
- ConocoPhillips in relation to the sale of its interest in the Greater Sunrise LNG Project to the Republic of Timor-Leste.
- The North West Shelf Venture in relation to the proposed tolling of gas from Hess Corporation’s Equus Project.
- China National Offshore Oil Corporation in relation to the operation of the Queensland Curtis LNG Project including managing joint venture dynamics and the sale of various joint venture related assets.
- Woodside Browse in relation to the proposed development of the Browse LNG Project.
- North West Shelf Lifting Coordinator in relation to its role as LNG and natural gas lifting coordinator for the North West Shelf Project.
Mining and Resources
- Sumitomo Metal Mining in relation to the joint development of a high-pressure acid leaching nickel processing plant in Indonesia, including advising on all related governance, supply, service and offtake arrangements.
- Newmont in relation to its investment into Irving Resources Japan including working closely with local counsel to advise on a variety of legal and regulatory matters.
- Neometals in relation to the sale of its interest in the Mt Marion lithium project in Western Australia.
- Mitsubishi Corporation in relation to their divestment of an interest in a number of uranium mining licenses in Mongolia.
- Adani Mining in relation to the development of the Carmichael Coal Mine including in respect of the rail, port and other infrastructure aspects of the project.
- Sumitomo Metal Mining in relation to its joint divestment (along with Vale Canada Limited) of a 20% interest in PT Vale Indonesia Tbk to Indonesian state-owned enterprise MIND-ID, including advising in relation to ongoing offtake and governance arrangements.
- BHP in relation to the development of the South Flank Project including the tendering process for various work packages and negotiating with contractors in relation to such documents.
- POSCO in relation to its equity investment into Pilbara Minerals Limited and an associated offtake agreement in respect of the Pilgangoora Lithium and Tantalum Project.
- Advising the Queensland Resources Council (an independent body representing minerals & energy companies) in relation to the Queensland rail network including access arrangements and engagement with the government regulator.
- Advising a confidential bidder in relation to the proposed acquisition of Anglo American’s interest in the Moranbah North metallurgical coal joint venture.
Power and Energy
- Confidential Japanese bidder in relation to its proposed investment into a number of geothermal assets in Croatia.
- AGL Energy in relation to the sale of its “National Assets” business, a portfolio of landfill gas, biogas and biomass generation and cogeneration assets in Australia.
- Adani Infrastructure in relation to the development of the 65MW Rugby Run Solar Project.
- Alinta Energy in relation to its proposed IPO and subsequent sale to Chow Tai Fook Enterprises Limited.
- APA Group in relation to the construction of a gas transmission pipeline and a gas–fired power station to supply the Gruyere Gold Project in Western Australia.
- Horizon Power (Western Australian state-owned electricity generator, distributor and retailer) in relation to the drafting and negotiation of gas transportation agreements, gas sale agreements, gas allocation agreements and gas storage agreements.
- Carnegie Clean Energy in relation to the development of the Northam Solar Project.

- Marubeni in relation to its investment in Skeleton Technologies Group OÜ in Estonia, which develops and manufactures ultracapacitors.
- BGC Australia (one of Australia’s largest privately owned companies) on the sale of its contracting business to NRW Holdings.
- Advising Living Farm (an Australian based agricultural biotechnology business) in its proposed sale to a Dutch conglomerate.
- BGC Australia in relation to the asset sale of part of its manufacturing business.
