Overview

Mike Edsall was a partner in Kirkland's corporate practice in the Firm's New York office. Mike concentrated on the financial sponsor industry and for more than two decades, represented numerous private equity and mezzanine firms in connection with their investment and capital-raising activities.

Mike had extensive experience in leveraged buyout, recapitalization, growth equity and mezzanine finance transactions. Mike represented clients in acquisitions and divestitures across a wide range of industries, in taxable and tax-free transactions, public-to-private transactions, acquisitions and divestitures under bankruptcy court supervision and cross-border transactions. Mike also represented a number of fund sponsors in developing, structuring and negotiating private equity, mezzanine, venture capital, opportunity and other funds, represented numerous fund portfolio companies in their investment and capital-raising activities, and provided counseling and assistance on various administrative and regulatory matters that fund sponsors regularly confront.

Mike was a partner from 1993 to 2017 and served on a number of the Firm's committees, including the firm-wide finance, technology, real estate, budget and business development committees, and the New York office operations, corporate practice management and technology committees.

Mike has written and lectured on a variety of legal topics, including  structuring M&A transactions, the use of flow-through entities in M&A transactions, securities law considerations in troubled company restructurings, "going private" transactions, negotiating acquisition agreements, negotiating senior and subordinated debt financing transactions, principles of tax advantaged lease securitizations, state and local tax structuring strategies for corporations, and principles of asset-backed transactions.
