Andrew Fink is a partner in the Investment Funds Practice Group in the Boston office of Kirkland & Ellis LLP. Andrew’s practice focuses on the formation, structuring and operation of venture capital and growth equity funds, advising on all stages of fundraising, governance and regulatory compliance, including in preparing offering materials, negotiating with investors regarding fund formation matters and drafting partnership, limited liability company and other governance agreements. Andrew also advises on securities laws and compliance with the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Employee Retirement Income Security Act of 1974 (ERISA) and other aspects of the regulatory framework applicable to formation and governance. He counsels fund managers on all aspects of day-to-day operations. In addition, Andrew advises clients on investment matters related to tokens, cryptocurrencies and other digital assets. He has represented a number of leading venture capital firms and routinely advises first-time and spin-out fund managers.
Andrew has also spent a portion of his career representing domestic and foreign institutional investors with respect to their investments across the private equity asset class as well as with the acquisition and sale of secondary fund interests.
