Overview
Conor Gordon is a corporate partner in the New York office of Kirkland & Ellis LLP. Conor advises private equity firms and strategic investors in connection with domestic and cross-border mergers and acquisitions, dispositions, joint ventures, reorganizations and other general corporate matters, focusing in the energy and infrastructure sector.
Conor maintains an active pro bono practice, including work relating to legal support for veterans and organizations which support those with mental health and addiction challenges.

Representative Matters
Since joining Kirkland, Conor has been involved in the following representative matters:
- ArcLight Capital Partners on a definitive agreement whereby Canada Pension Plan Investment Board invested $1 billion for a strategic minority position in AlphaGen, is one of the largest independent power portfolios in the U.S., with over 11 GWs of critical power assets located in strategic markets across the country
- ArcLight Capital Partners in its joint investment with DigitalBridge in Takanock, a provider of digital and power infrastructure solutions
- Ara Partners, a global private equity and infrastructure investment firm focused on industrial decarbonization, on its acquisition of a majority controlling stake in Centric Fiber, an established bulk fiber-to-the-home platform in the southern United States
- Climate Adaptive Infrastructure in its investment in 38 Degrees North, a community solar and distributed renewables platform
- TPG Rise Climate in a convertible note investment in Twelve Benefit Corporation, a carbon transformation company that makes chemicals, fuels and other materials from carbon dioxide, and equity investment in a newly-formed joint venture with Twelve to develop, finance, construct, own and operate new-build sustainable aviation fuel production facilities
- Gates Frontier in connection with its investment in TerraPower, a leading nuclear innovation company
Prior to joining Kirkland, Conor was involved in the following representative matters:
- The successful proponent in achieving financial close on the Gordie Howe International Bridge, an international bridge linking Windsor, Ontario with Detroit, Michigan
- Stonepeak Infrastructure Partners’ in their acquisition of Xplornet Communications Inc.
- CP Railway in its acquisition of the Detroit River Rail Tunnel from OMERS
- CN Railway in its sale of Algoma Central Railway to Watco
- Northleaf Capital Partners in multiple preferred equity transactions including its investments in a waste transportation and management business, an orthopedic services provider, a leading national car wash operator and a customer management software provider
- New York Digital Investment Group in its restructuring of secured debt and related asset purchase transactions with Greenidge Generations Holdings Inc., US BTC and CoreScientific
- Cantor Fitzgerald in the restructuring of approximately $360 million of indebtedness of View, Inc. in Chapter 11
- Radiology Partners, a leading technology-enabled radiology practice serving more than 3,300 hospitals and other healthcare facilities across the U.S., in its approximately $720 million equity investment from existing and new investors
- Welsh, Carson, Anderson & Stowe and United Musculoskeletal Partners in its partnership with Panorama Orthopedics
- IEQ Capital, an independent advisory firm partially owned by Stone Point Capital, in IEQ Capital’s acquisition of EPIQ Capital Group, an approximately $5.3 billion multifamily office and investment firm
- CareerBuilder, a portfolio company majority-owned by funds managed by affiliates of Apollo Global Management, Inc. and Ontario Teachers’ Pension Plan Board, in various transactions, including a joint venture with Monster
- The shareholders of Onyx-Fire Protection Services in the sale to TorQuest Partners, one of Canada's largest private equity funds
- Sheridan Capital Partners on the cross-border acquisition and ultimate sale of Canadian Orthodontic Partners to Pamlico Capital
- Industrial Alliance Financial Services Inc. on the sale of its subsidiary, iA Investment Counsel Inc. (operating under the brands T.E. Wealth and Leon Frazer & Associate), to Canadian Western Bank and the sale of its interest in Forstrong Global Asset Management Inc.
