Overview
Katherine Hannah is a partner in the Washington, D.C., office of Kirkland & Ellis LLP. Katherine’s primary focus is on project sponsors, financial institutions, export credit and multilateral development agencies and other project participants in a wide range of US and cross-border project and structured financings, investment transactions and restructurings, with a particular emphasis on mining, oil & gas, energy transition projects, digital infrastructure, and energy and transportation infrastructure.
Experience
Representative Matters
Prior to joining Kirkland, Katherine was involved in the following representative matters:
Digital Infrastructure
- Represented Lenders in connection with a (a) $600 million financing to support the development of a 50MW datacenter and (b) $400 million senior secured facility for the development of a 48MW Datacenter in Virginia.
- Represented Lenders in connection with an approximately $1billion financing to support the development of a 100MW datacenter in Georgia.
- Represented Lenders in connection with a $130 million financing to support the development of a 16MW hyperscale data center in Quebec.
- Represented Lenders in connection with a $360 million senior secured facility for the development of a 64MW datacenter in California.
- Represented Lenders in the $640 million financing for one of the largest operators of data towers, shared network and other telecom infrastructure in the United States.
Renewables
- Represented an energy power producer's issuance of secured green notes in a private placement to support it's hydroelectric portfolio, which consists of 10 run-of-river plants and has a total installed capacity of 73MW.
- Represented Lenders in a $50 million senior secured facility to support the construction and development of three RNG (biogas) facilities in Utah and Washington.
- Represented Lenders in connection with a $650 million Holdco Refinancing of a portfolio of Solar, Wind, and BESS assets located throughout the United States for a large energy power producer.
- Represented energy investment firm in connection with the financing of a 110 MW concentrated solar thermal power plant and 100 MW photovoltaic solar power plant in Chile.
- Represented Institutional investors and LC issuing bank in connection with a private placement and $15 million LC facility for a Utah soloar portfolio project.
- Represented Institutional investors in a $560 million private placement financing under Rule 4(a)(2) for the Sidney A. Murray, Jr. Hydroelectric facility, a 192MW, run-of-river hydroelectric station located in Concordia Parish, Louisiana.
- Represented energy portfolio company as issuer, in connection with the offering of its $225 million Senior Secured Notes to support an interest in the combined cycle power plant with a nameplate capacity of approximately 801MW located in Mississippi.
- Represented Institutional investors in project company and holding company 4(a)(2) private placements of four landfill gas to RNG projects owned by energy systems sponsor and located in the United States and Canada.
- Represented sponsor in the United States $1.7 billion bank/bond refinancing of a portfolio of renewable energy and conventional power projects across Chile, Panama, and Colombia, which facility includes LC, working capital, flexible, acquisition and other tranches of debt.
Mining
- Represented Sole Lender in copper project in Nevada (named “North American Mining Deal of the Year” by IJGlobal).
- Represented Sponsors in the connection with a $1 billion corporate facility incurred to finance a Chilean copper mine.
- Represented Export-credit agencies and a syndicate of commercial banks in connection with several mining projects.
Oil & Gas & Other Power/Infrastructure
- Represented large infrastructure fund in connection with its financing and acquisition from a regulated gas distribution company located in West Virginia.
- Represented Lead Arranger in connection with United States $1.15 billion term loan b refinancing for a terminal operating and transporation company for its downstream terminal infrastructure platform.
- Represented Bondholders in the restructuring of coal fired generation assets in Mississippi.
