• Defending a healthcare company against a former executive and minority shareholder in the Delaware Court of Chancery.
• Defended a telemedicine services provider against breach of contract claims for post-closing payments in the Superior Court of the State of Delaware.
• Represented a contract development and manufacturing organization in various litigations against a minority shareholder and real estate development surrounding a $1 billion+ gene therapy plant.
  

Restructuring Representations

• Representation of Bed Bath & Beyond, Inc. and 73 of its affiliates in their Chapter 11 cases. Through its Chapter 11 cases, Bed Bath & Beyond conducted an orderly wind-down of its business while marketing a sale of all or part of the business. Reorganization plan approved.
• Representation of Intelsat S.A., operator of the world’s largest satellite fleet and connectivity infrastructure, and its debtor affiliates in connection with their Chapter 11 cases. Filing with approximately $15 billion in liabilities, Intelsat’s Chapter 11 cases posed complex intercompany issues as well as novel issues of regulatory and foreign law. After extensive multiparty and cross-silo negotiations and successful mediation efforts, Intelsat obtained confirmation of its plan of reorganization on a fully-consensual basis and emerged from Chapter 11 with nearly $7 billion in new exit financing and a deleveraged capital structure.
• Representation of Nautical Solutions, L.L.C. and its affiliate in their prepackaged Chapter 11 cases. Only 37 days after filing for Chapter 11, Nautical successfully confirmed its plan of reorganization with the support of 100% of Nautical’s secured creditors and equity holders.
• Representation of Prima® Wawona, the then largest producer of stone fruits, and certain of its affiliates in their Chapter 11 cases. Reorganization plan approved.
• Representation of Cyxtera Technologies Inc. (CYTX) and its affiliates in their prearranged Chapter 11 cases. Cyxtera is a Nasdaq-traded global leader in data center colocation and interconnection services. Reorganization plan approved.
• Representation of Wahoo Fitness, a global leader in smart fitness and training for endurance athletes and fitness enthusiasts, in an out-of-court recapitalization that provided significant liquidity and fully eliminated all of Wahoo's existing debt.
• Representation of Seadrill Limited and certain of its direct and indirect subsidiaries in their multi-jurisdictional restructuring of approximately $6.1 billion of funded debt. Seadrill is a leading global provider of offshore contract drilling services and employs nearly 3,100 individuals across 15 countries and five continents. Reorganization plan confirmed.
• Representation of Altera Infrastructure L.P., a leading international midstream services provider to the oil and gas industry, and certain of its affiliates in their prearranged Chapter 11 cases. Reorganization plan confirmed.
