Prior to joining Kirkland, Philip was involved in the following matters:

• Represented Bain Capital in connection with obtaining debt financing for its acquisition of Service Logic, a leader in comprehensive commercial HVAC and building automation services.
• Represented The Vistria Group in connection with financing for its acquisition of Soliant Health, LLC, a leading provider of workforce solutions in K-12 school districts and healthcare facilities throughout all 50 states.
• Represented General Atlantic, Nautic Partners and The Vistria Group in connection with financing for its acquisition of PANTHERx Rare, a provider of access solutions to people living with rare medical conditions.
• Represented MolyCop, a portfolio company of American Industrial Partners, in connection with a $1.275 billion refinancing of its existing secured notes and ABL financings.
• Represented American Industrial Partners in obtaining $565 million syndicated first lien term loan facilities, a $165 million second lien term loan facility and a $150 million ABL facility for the acquisition of RelaDyne, a leading automotive, industrial and commercial lubricants provider, and various incremental financings and repricing transactions.
• Represented American Industrial Partners in obtaining $580 million in term loan facilities and a $100 million ABL facility for its public-take-private acquisition of SEACOR, a diversified shipping and logistics company.
• Represented PQ Corporation in modifying its $250 million ABL revolving facilities, refinancing its $950 million of senior secured term loan facilities, prepaying $650 million of “sidecar” senior secured term loan facilities and redeeming $625 million of high yield bonds to permit, and restructure its organizational and debt structure in connection with, the sale of its global performance chemicals division to Koch Minerals & Trading and Cerberus Capital.
• Represented iMedia Brands, Inc. and its affiliated debtors in their Chapter 11 cases, which involved the restructuring of approximately $300 million of obligations.
• Represented SEKO Logistics, a global end-to-end logistics partner, in its comprehensive out-of-court recapitalization and the restructuring of its senior secured debt and Holdco notes.
• Represented credit funds managed by Invesco in connection with a variety of subscription and asset-based leverage facilities.
