Overview

Darren Littlejohn is a partner in the Complex Securitizations Practice Group in the New York office of Kirkland & Ellis LLP. He counsels clients on a wide array of synthetic, financing and derivative products and structures. Darren represents a diverse client base across multiple asset classes, including asset managers, lenders, private equity sponsors, corporations, pension funds and market infrastructure providers.

Darren has deep knowledge of the regulatory framework applicable to his transactional practice, and he regularly provides standalone regulatory advice in addition to his core transactional work. He is highly valued by his clients for his structuring and execution experience, which is informed by a decade of in-house experience working at Goldman Sachs. Darren has extensive experience with the insolvency regimes applicable to structured products and derivatives, and he regularly writes advice and opinions on all aspects of bankruptcy laws applicable to his practice area.

Darren’s practice includes:

  • Leverage Products, including back-leverage and warehouse financing facilities, secured by debt, equity and other asset classes. Products include structured repo facilities, asset-back financing facilities, total return swaps, margin loans, loan-on-loan financing and derivatives-based collateral funding facilities.
  • Synthetic Investments, including synthetic risk transfer (SRT) regulatory capital relief transactions involving credit-linked notes and credit default swaps. Other product types include structured participation agreements, contingent debt instruments and credit (non-payment) insurance.
  • Structured Finance, including asset repackaging transactions and securitization of non-traditional asset classes and cash flows.
