• Representation of Bain Capital Credit in connection with its debt financing and minority equity investment in an SEC-registered broker dealer and registered investment advisor.
• Representation of agent in connection with the $2.337 billion back leverage refinancing term loan facilities for Freeport LNG.
• Representation of White Oak Global Advisors, a lender specializing in originating bespoke financing solutions secured by transitional assets, in lending to its affiliate focused on credit opportunities in commercial real estate.
• Representation of Equity Lifestyle Properties Inc., a publicly traded REIT and leading operator of manufactured home communities, RV resorts and campgrounds in North America, and its subsidiary in connection with its unsecured syndicated $500 million revolving line of credit and $300 million term loan.
• Representation of Shore Capital Partners, a leading microcap investment firm, in connection with its real estate subsidiary funds’ $200 million secured revolving line of credit. 
• Representation of NCL Corporation Ltd., a subsidiary of Norwegian Cruise Line Holdings Ltd. in its $260 million dollar term loan credit facility with Bank of America, N.A. secured by the cruise ship “Norwegian Jewel.”

Infrastructure and Project Finance

• Representation of the acquiring consortium and KKR, a leading global investment firm, in the definitive agreement where KKR and Global Infrastructure Partners (GIP), one of the world’s leading infrastructure investors, will acquire all outstanding shares of common stock of CyrusOne Inc. (NASDAQ:CONE), a premier global data center REIT, for $90.50 per share in an all-cash transaction valued at approximately $15 billion, including the assumption of debt. 
• Representation of KKR on its definitive agreements with NextEra Energy Resources (NYSE: NEE) and NextEra Energy Partners, LP (NYSE: NEP) to acquire a large portfolio of renewables assets.

Fund Finance

• Representation of Summit Partners in its capital call facility with a ten member syndicate for Summit Partners Growth Equity Fund XI, Summit Partners’ largest fund in its history with over $8.35 billion in limited partner commitments.
• Representation of private equity funds in numerous multi-jurisdictional capital call facilities, net asset value secured credit facilities, hybrid facilities, management fee secured credit facilities and employee co-investment credit facilities. Representative sponsor clients include Summit Partners, Pritzker Private Capital, The Sterling Group, Ares Management, Amulet Capital Partners, One Equity Partners, Vista Equity Partners, I Squared Capital, Mountain Capital, ComVest Group, Rockwood Capital, Loyal Valley Capital, Huaxing Growth Capital and Arctos Sports Partners.
