Matt Mullarkey
Overview
Matt Mullarkey is a corporate partner in the Houston office of Kirkland & Ellis LLP. Matt’s practice focuses on advising clients on cross-border mergers and acquisitions, joint ventures, project development and strategic investments, with a particular focus on energy, infrastructure and industrial sectors.
Matt represents multinational corporations, private equity sponsors, sovereign wealth funds, national oil companies and project sponsors in complex M&A transactions across the United States, the Middle East, Europe, Asia and Africa. His experience includes acquisitions and divestitures, greenfield developments, upstream and downstream oil and gas, mining and metals transactions, petrochemical projects and project financings.
Matt has extensive experience advising on transactions in emerging markets and frontier jurisdictions where he helps investors, sponsors and lenders navigate complex regulatory frameworks, sovereign counterparties, political risk considerations, and bespoke financing and investment structures to successfully execute strategic transactions in those markets.
Matt has previously worked in Singapore, the United Arab Emirates, Qatar and Sub-Saharan Africa, and is dual-qualified to practice in the U.S. and the U.K.

Energy M&A
- Petroliam Nasional Berhad (PETRONAS) in respect of the establishment, structuring and investment into the US$8 billion Refinery and Petrochemical Integrated Development (RAPID) joint venture with Saudi Aramco in Malaysia.*
- ADNOC in respect of its inaugural Abu Dhabi 2018 Block Bid Licensing Round, awarding offshore and onshore exploration concessions to ENI, PTTEP, Occidental Petroleum, Inpex Corporation and a consortium led by Bharat Petroleum Corporation and Indian Oil Corporation, for a total value of $820 million and covering approximately 30,000km2 of exploration blocks.*
- ADNOC on its 2019 follow-up Block Bid Licensing Round, awarding offshore and onshore exploration concessions to COSMO, ENI, Occidental Petroleum, PTTEP and a consortium of Pakistani oil majors, for a total value of $819 million.*
- ADNOC on the sale of interests in the ultra-sour gas Ghasha oil and gas concession to ENI, Wintershall DEA, OMV and Lukoil.*
- ADNOC in the sale of a 40% interest in the Ruwais Diyab unconventional gas concession to Total.*
- ADNOC in respect of a sale of shareholding in ADNOC Onshore opco and concession rights in the Abu Dhabi Onshore concession area by CEFC to ZhenHua.*
- Mubadala Investment Partners on the acquisition of a 35% interest in Muharraq Sewage Treatment Plant in Bahrain from Samsung Engineering Company and United Utilities International Limited.*
- Emirates Global Aluminium PJSC in respect of its acquisition of Leichtmetall Aluminium Giesserei Hannover GmbH, a German aluminum recycling and remelting business.*
- Emirates Global Aluminium PJSC in respect of its acquisition of an 80% stake in American aluminum recycling firm, Spectro Alloys Corporation.*
- Emirates Global Aluminium PJSC in respect of its acquisition of an Italian aluminum recycling and remelting business.*
- Qatar Islamic Bank on its acquisition of a 20% ownership interest in a Bahraini-based bank with offices in Lebanon, Saudi Arabia, Sudan, Egypt, Algeria, Jordan and Pakistan.*
- Quadria Capital in its acquisition of a significant minority stake in PT Soho Global, an Indonesian pharmaceutical distribution company.*
- Kredivo, a leading provider of digital financial services to the underbanked in Southeast Asia, in respect of its multi-tranche acquisition of PT Bank Bisnis, a publicly-listed Indonesian bank, for US$200 million.*
- Kredivo in respect of its US$270 million Series D fundraise from Mizuho Financial Group and a consortium of venture capital firms.*
- ADNOC in respect of its disposal of a 35% stake in ADNOC Refining to Eni and OMV for $5.8 billion.*
- ADNOC in connection with the sale of a 40% stake in ADNOC Oil Pipelines to a consortium comprising of Blackrock and KKR for $4 billion.*

Project Finance & Development
- Pertamina, Marubeni and Sojitz on the development of the US$1.7 billion integrated Jawa-1 LNG-to-Power Project in West Java Province, Indonesia.*
- A syndicate of 13 APAC and MENA-based lenders in connection with the US$3.4 billion Hassyan Power Plant in Dubai, UAE (this deal was awarded “MENA Power Deal of the Year 2016” by IJ Global Awards and “Middle East and Africa Power Deal of the Year 2016” by PFI Awards).*
- AES Corporation, Posco Energy and China Investment Corporation (as developers) in respect of a US$1.1 billion refinancing, consisting of syndicated loans and senior secured bonds, for the 1,120 MW Mong Duong 2 Power Plant in Northern Vietnam (this deal was awarded “Asia Pacific Refinancing Deal of the Year” by IJ Global Awards 2019).*
- Japan Bank for International Cooperation (JBIC) and the commercial lenders on the US$645 million financing of the Az-Zour North 1 Power and Water Project, the first project to be implemented under Kuwait's Public Private Partnership (PPP) Laws.*
- Masdar in connection with the development of a 145MW floating solar PV project over the Cirata reservoir in Indonesia, undertaken as a joint venture with the Indonesian state electricity company, PT PLN.*
- International Finance Corporation (IFC), Asian Development Bank (ADB), German Investment Corporation (DEG) and Islamic Development Bank (IsDB) in relation to the financing and development of the Triconboston 3 x 50 MW Wind Power Plants in Sindh Province, Pakistan.*
- IFC on the financing and development of six wind power projects (Super Six) in Jhimpir wind corridor in Pakistan with a combined capacity of 310MW.*
- Netherlands Development Finance Company (FMO), CDC Group and United Bank Limited in relation to the development of the 50 MW Zephyr Wind Power Project in Sindh Province, Pakistan.*
- An IFC-led consortium in connection with the financing and development of the $453 million, 216MW Upper Trishuli-1 Hydropower Project in the Rasuwa district of Central Development Region of Nepal.*
- IFC, CDC Group, Japan International Cooperation Agency (JICA) and Clifford Capital as lenders on their financing of the US$412 million Sirajganj Independent Power Project in Bangladesh.*
- Albertine Graben Refinery Consortium on the development, financing, construction and operation of a greenfield refinery project in Hoima District, Uganda.*
