Overview

Jessica Patrick is an investment funds partner in the Washington, D.C., office of Kirkland & Ellis LLP. Her practice focuses on advising asset managers, registered investment companies and independent trustees on the formation, structuring and operation of registered funds and other retail-oriented investment vehicles.

Jessica has significant experience advising on the design and launch of alternative registered products that provide retail and high-net-worth investors access to private markets strategies, including interval funds, tender offer funds and other continuously offered vehicles investing across private equity, private credit and other less liquid asset classes. She regularly counsels clients on the full lifecycle of these products, from initial structuring and registration through ongoing operations, governance and regulatory compliance.

Her experience spans a wide range of registered fund structures, including mutual funds, ETFs and closed-end funds, as well as business development companies and other 1934 Act reporting vehicles. She advises on complex regulatory, disclosure and transactional matters under the Investment Company Act of 1940, the Securities Act of 1933 and related federal securities laws, including exemptive relief, fund reorganizations and adviser transactions.

Jessica also serves as counsel to independent trustees, advising on governance, conflicts, advisory contract approvals and other fiduciary matters.

Representative experience includes advising on the formation and launch of a multi-billion-dollar closed-end tender offer fund sponsored by a leading technology-focused investment manager, investing across public and private innovation companies, including advising on its 1940 Act structure, offering and ongoing operations.
