Since joining Kirkland, Jacob has been involved in the following matters:
- Representing Honeywell and certain of its officers and directors in a putative securities class action and shareholder derivative litigation filed in New Jersey and Delaware federal courts concerning Honeywell’s accounting for asbestos-related liabilities.
- Representing Mindbody and its portfolio parent, Vista Equity Partners, in a putative securities class action, shareholder litigation, and an appraisal action filed in New York federal court and Delaware Chancery Court challenging Vista’s $1.9 billion take-private acquisition of Mindbody.
- Representing non-profit New York hospital in litigation filed in New York Supreme Court relating to the proceeds of the demutualization of MLMIC Insurance Company following Berkshire Hathaway’s $2.5 billion acquisition of MLMIC.
- Represented JELD-WEN and certain of its officers and directors in a securities class action litigation filed in Virginia federal court arising from price-fixing allegations and related lawsuits. Settlement achieved in 2021.
- Represented Honeywell in a putative securities class action litigation filed in Minnesota federal court relating to the financial results for Resideo Technologies, which was spun-off from Honeywell. Honeywell was dropped as a defendant.
- Represented Honeywell officer, who was a pre-spin Garret Motion director and officer, in a putative securities class action litigation filed in New York federal court relating to the financial obligations of Garrett Motion, which was spun-off from Honeywell. The claims were dismissed with prejudice.
- Represented Liqui-Box, a portfolio company of Olympus Partners, and Olympus Partners in litigation filed in New York federal court arising from Liqui-Box’s $585 million acquisition of the plastics division of D.S. Smith.
- Represented J.C. Flowers in a dispute filed in New York federal court arising out of the purchase of HSH Nordbank AG.
Prior to joining Kirkland, Jacob was involved in the following matters:
- Represented aerospace and defense company in fraud and breach of contract action in the Southern District of New York against former owners of an acquired company.
- Represented a Fortune Global 500 company in related actions alleging violations of the Resource Conservation and Recovery Act and personal injuries from groundwater contamination related to a former industrial site. In August 2018 the Northern District of Indiana denied plaintiffs’ motion for class certification.
- Represented leading U.S. pharmaceutical manufacturer in reaching a successful conclusion in Hatch-Waxman litigation against a generic competitor.
- Represented international insurers in insurance arbitration regarding losses stemming from toxic chemical pollution claims.
- Represented major international law firm in connection with an action in New York Supreme Court alleging professional malpractice. The court dismissed all claims as barred by the statute of limitations.
