- Counsel public companies on ESG related risks and opportunities including ESG governance, voluntary ESG disclosure, litigation risk assessments, climate strategy, human capital management, human rights, supply chain and diversity, equity and inclusion issues.
- Draft and advise on ESG disclosure in Exchange Act filings, including 10-Ks and proxy statements.
- Advise public company clients on ESG vulnerabilities in connection with shareholder activism.
- Advise on legal risks related to ESG communications including sustainability reports, articles, social media and other voluntary ESG disclosure.
Capital Markets ESG Advice
- Advise on ESG issues and draft ESG disclosure in connection with capital markets transactions across industries, including bond offerings, initial public offerings and Special Purpose Acquisition Corporation (SPAC) business combinations.
Private Equity/M&A ESG Advice
- Advise private equity firms on ESG policies, ESG due diligence, metrics, ESG reports and external ratings and frameworks, including UN Principles for Responsible Investment.
- Advise on ESG risks and opportunities and conduct due diligence on M&A deals across sectors.
