Overview

Stanley Ramsay is a tax partner in the New York office of Kirkland & Ellis LLP.

Stanley’s practice is focused on representing private equity sponsors, institutional asset managers and investors on the formation and operation of private funds and investment vehicles. His practice includes advising clients on fund formation and structuring, sponsor liquidity and minority investment transactions, fund- and sponsor-level tax considerations arising from investments, mergers and acquisitions, and sponsor-level economic and tax planning and structuring.

Stanley has significant experience in the structuring and documentation of asset manager merger and acquisition transactions, and has advised clients in the U.S., Europe and Asia on the formation and structuring of a wide range of private funds with varying strategies, including private equity, growth equity, venture capital, real estate, infrastructure, energy, credit and distressed and special situations. In addition, Stanley has substantial experience advising on GP-led fund restructurings and continuation fund transactions. He has assisted with fund formations ranging in size from $150 million to more than $10 billion.

Stanley is a frequent speaker at bar association and industry panels on tax topics relating to partnerships and private funds. He is recognized as a “Bankruptcy Tax Specialist” by Turnarounds & Workouts magazine and has been recommended for U.S. Taxes: Non-Contentious and International Tax by The Legal 500 United States.
