Sam is a partner in the Investment Funds Group of Kirkland & Ellis LLP, where he focuses his practice on advising fund sponsors on all aspects of the investment management lifecycle, including the structuring, formation, marketing, negotiation and operation of private investment funds and their management companies. Sam represents a wide range of fund sponsors in connection with fundraises ranging from multibillion dollar offerings to first-time funds, spanning a broad array of investment strategies.
Sam regularly counsels fund sponsors on both firm- and fund-level economic, control, transactional and operational matters, including compensation and carry plans, succession planning, internal disputes, establishing new product lines, employment and separation arrangements, firm governance and regulatory compliance. In addition, Sam has experience advising fund sponsors in connection with seed and anchor investments, co-investments, separately managed accounts, continuation funds, conflicts of interest, changes of control, fund restructurings, alternative investment vehicles, spin-outs, minority investments in management companies, asset management M&A and fund-related aspects of portfolio company transactions.
In addition to his client representations, Sam plays a key role in Kirkland’s initiatives to develop and integrate artificial intelligence tools, helping to shape the Investment Funds Group’s cutting-edge approach to AI implementation. Sam has a longstanding interest in legal technology and innovation, having previously been instrumental in the development of an electronic fund subscription platform, which helped to facilitate an industry-wide shift towards a more streamlined and efficient investor subscription process.
