Overview

Olivia Seraphim is a corporate healthcare partner in the Washington, D.C., office of Kirkland & Ellis LLP, with a practice concentrated on regulatory counseling and transactional support across the life sciences and healthcare industries. Olivia regularly counsels strategic investors, private equity sponsors and operating companies on risk management and regulatory strategy in connection with mergers, acquisitions and other significant transactions. Olivia has significant experience conducting regulatory due diligence for complex transactions involving pre-clinical, clinical, and commercial-stage biotechnology and pharmaceutical companies, medical device and cosmetics manufacturers, as well as contract research organizations (CROs) and contract development and manufacturing organizations (CDMOs).

In addition to her work with life sciences companies, Olivia has extensive experience advising healthcare providers and organizations — including physician practices, dental services organizations (DSOs) and pharmacy entities — on day-to-day regulatory compliance, operational issues, and federal and state healthcare laws. Her experience includes the Anti-Kickback Statute, the Stark Law, HIPAA, state licensure and scope of practice laws, and corporate practice of medicine prohibitions. She is particularly well-versed in pharmacy regulations and Board of Pharmacy matters.
