• Represented Actis in its acquisition of a co-control stake in Catalyze, a distributed solar and battery storage infrastructure developer
• Represented Gates Frontier in connection with its additional investment in TerraPower, a leading nuclear innovation company, in its $750 million fundraising round co-led by Gates Frontier and SK Inc. and SK Innovation
• Represented Royal Caribbean (NYSE: RCL) in the formation of a strategic partnership with iCON Infrastructure for an international destination development platform
• Represented Vista Equity Partners, a global private equity firm, in its acquisition of:
  • Power Factors, a provider of renewable energy asset performance management software, from Oaktree Capital Management
  • TigerConnect, Inc., a provider of a clinical collaboration platform for the healthcare industry

• Represented Windjammer Capital-backed Vital Records Control in its acquisition of 2-20 Records Management, a provider of records storage and information management, from AUA Private Equity Partners and Topspin Consumer Partners
• Represented Accel-KKR in its investment in Vendavo
• Represented Integrity Marketing Partners, a private equity backed company, in its acquisition of:

• Represented Southern Power Company in its $1.175 billion sale of a 33% minority interest in its solar portfolio to Global Atlantic Financial Group Limited
• Represented a renewable energy company in the sale of the equity interests in four solar projects to a public bank for the bank's tax equity investment
• Advised an international energy company in its joint venture to develop solar projects
• Represented Chevron Petroleum Company ("Chevron"), a subsidiary of Chevron Corporation (NYSE: CVX), in the sale of its 43% interest in the Association Contract and related rights and assets, pursuant to which Chevron operates certain upstream natural gas assets in the Chuchupa natural gas field in the Caribbean Sea and Ballena fields in the province of La Guajira, Colombia, to Hocol, S.A., a subsidiary of state-owned Ecopetrol S.A.
• Represented PGT Innovations, Inc., a national leader in premium windows and doors, including impact-resistant products, in connection with its $92 million cash acquisition of NewSouth Window Solutions, subject to adjustments
• Represented Total Gas & Power Asia Private Limited, a subsidiary of Total S.A., in (i) its purchase of all of the outstanding shares of Toshiba America LNG Corporation from Toshiba America, Inc., and (ii) its assumption of all LNG related agreements from Toshiba Energy Systems & Solutions Corporation
• Represented Sempra Energy in the sale of a Sempra subsidiary to ArcLight Capital Partners for $328 million in cash, subject to adjustments for working capital
• Represented Noble Midstream Partners LP in its $155 million acquisition and exercise of an option to acquire a 20% ownership interest in Saddlehorn Pipeline Company, LLC, along with the negotiation of related crude oil commercial agreements
• Represented Chevron U.S.A. Inc., a wholly-owned subsidiary of Chevron Corporation, in its purchase of all of the equity interests of Pasadena Refining System Inc. and PRSI Trading, LLC from Petrobras America Inc. for $350 million, subject to adjustments for working capital
• Represented Cardinal States Gathering Company LLC and CSG Holdings I LLC in connection with a $125 million senior secured term loan facility provided by a syndicate of lenders led by Investec Bank plc, as administrative agent
• Represented Lime Rock Partners in the $520 million sale of its portfolio company, GEODynamics, to Oil States International
• Represented Delek US Holdings in its $675 million equity acquisition of 53 percent of Alon USA Energy
• Represented Mattress Firm in its $780 million equity acquisition of Sleepy's
• Represented a public oil field services company in its equity acquisition of a private oil field equipment supplier
• Represented McDermott International in its $6 billion acquisition of Chicago Bridge & Iron Co.
• Represented a private equity sponsor in the acquisition and subsequent combination of two providers of surface well-control equipment and related services
• Represented a public principal investment firm in its investment of two companies through a combination of a direct equity investment and secured debt
• Represented a multinational inspection, product testing, and certification company in its acquisition of a materials testing and specialty construction inspection firm
