Chambers' comments:

USA Ranking: 3

The Firm: This firm is nationally and internationally renowned for its work on fund formations, LBOs and equity investments on behalf of weighty clients. It continues its march into the national limelight thanks to the volume and high calibre of attorneys and deals undertaken. The "extraordinarily good" team is a fixture on the biggest consortium deals. It recently represented Bain Capital in its USD2.06 billion acquisition of Burlington Coat Factory Warehouse, and advised CVC Capital partners on its USD1.69 billion consortium bid for AVR-Bedrijevn. Clients point to an incredibly responsive group that "will do whatever is necessary to accommodate our needs." The firm has also made great inroads into the M&A market. It represented GM in the sale of GMAC for USD13 billion to a consortium led by Cerberus Capital Management. It also acted for Constellation Energy in its USD11.3 billion merger with Florida Power & Light.

The Lawyers: Carter Emerson's "skilled, calm and even-handed manner" impresses observers. He focuses on international and domestic M&A, securities and LBO work. According to clients, "you can rely on Stephen Fraidin's word - he is also forthright." He handled the GM deal and also represented Forstmann Little in its USD750 million acquisition of International Management Group and its USD1.6 billion acquisition of 24 Hour Fitness.

Clients/Work Highlights: ABRY Partners; BainCapital; Code, Hennessy & Simmons; Golden Gate Capital; Gryphon Investors; GTCR Golder Rauner; Madison Dearborn Partners; Summit Partners; Sun Capital Partners; Swander Pace Capital and Willis Stein & Partners. The lawyers have been advising Citadel Broadcasting on its proposed USD3 billion reverse Morris Trust merger with the ABC Radio assets of Walt Disney. They also acted for Coors Brewing in its USD6.7 billion merger with Molson.
