Kirkland & Ellis Represents Charter Communications in Transactions with Time Warner Cable and Bright House Networks

Kirkland & Ellis LLP represents Charter Communications, Inc. which today announced a definitive agreement to merge with Time Warner Cable Inc.  The deal values Time Warner at $78.7 billion.  In addition, Charter and Advance/Newhouse Partnership (the parent company of Bright House Networks, LLC) also announced that the two companies have amended the agreement which the two parties signed on March 31, 2015, whereby Charter will acquire Bright House Networks for $10.4 billion and the two transactions are expected to close contemporaneously.  

Charter is a leading broadband communications company and the fourth-largest cable operator in the United States. Time Warner Cable is among the largest providers of video, high-speed data and voice services in the United States, connecting 15 million customers to entertainment, information and each other.  Bright House Networks is the sixth largest owner and operator of cable systems in the U.S. and the second largest in Florida, with technologically advanced systems located in five states including Florida, Alabama, Indiana, Michigan and California and two of the top 20 DMAs.
