Kirkland Advises Warburg Pincus on Public Takeover Offer for PSI

Kirkland & Ellis advised Warburg Pincus on entering into an investment agreement with PSI Software SE (PSI) and the voluntary public takeover offer for all outstanding shares in PSI (Offer).

The Offer includes a cash consideration of EUR 45.00 per PSI share, which implies an equity valuation for PSI of approx. EUR 702 million. Warburg Pincus intends to delist PSI from the stock exchange after settlement of the Offer.

PSI develops software products for optimizing the flow of energy and materials for utilities and industry. As an independent software producer, PSI has been a technology leader since 1969 for process control systems. PSI has about 2,400 employees in 13 German and 17 international locations in Europe, Asia and North America. In the financial year 2024, the Group achieved revenues of EUR 260.8 million.
