Kirkland Advises Charter Communications on $10 Billion Exchange Offers and Notes Offerings
Kirkland & Ellis advised Charter Communications, the leading broadband and video company in the nation and the fastest growing mobile provider in its footprint, on its offers to exchange, through its subsidiaries, various tranches of existing senior secured notes for a combination of cash consideration and newly-issued 7.087% Senior Secured Notes due 2038 or for a combination of cash consideration and newly-issued 7.337% Senior Secured Notes due 2041. In total, approximately $5.50 billion in aggregate principal amount of existing senior secured notes were tendered in the exchange offers and $1.74 billion in aggregate principal amount of 7.087% Senior Secured Notes due 2038 and $1.66 billion in aggregate principal amount of 7.337% Senior Secured Notes due 2041 were issued. The exchange offers expired on August 20, 2026, with final settlement on August 24, 2026.
In addition, Kirkland & Ellis advised Charter Communications on a $4.75 billion notes offering, comprised of $1.75 billion of 6.05% senior secured notes due 2032, $1 billion of 6.6% senior secured notes due 2034, $1 billion of 6.95% senior secured notes due 2036 and $1 billion of 7.85% senior secured notes due 2056, with net proceeds thereof used to pay the cash consideration for its previously-announced acquisition of Cox Communications, Inc. and for other general corporate purposes. The new notes offering closed on August 18, 2026.
