Kirkland & Ellis SEC's New "Fair Disclosure" And Insider Trading Regulations
The SEC's new Regulation FD (for "Fair Disclosure") becomes effective on October 23, 2000. Our panel of experts will discuss the requirements of Reg. FD. Because Reg. FD puts a premium on knowing when corporate information is "material" (and thus requires broad public disclosure), the panel will discuss the SEC's recent guidance on what it considers to be material, as well as common scenarios where it isn't so clear whether information is material or not. Our panel will include market professionals from various disciplines who will explain how new Reg. FD will impact their activities.
