Dan Applebaum is a corporate partner in Kirkland’s market-leading Investment Funds Practice Group, focusing his practice on private fund formation and other complex matters relating to private funds and their sponsors.
Dan regularly advises and represents clients in connection with the organization and operation of private funds and their sponsors, along with related legal, regulatory, structuring, governance and transactional matters. Dan’s fund formation experience spans a range of strategies, geographies and liquidity structures. Dan routinely negotiates side letters and fund documentation with investors (including anchor investors), as well as agreements with service providers and counterparties. Dan also regularly provides advice in connection with the negotiation of investment advisory agreements in various contexts, including for separately managed accounts and sub-advisory arrangements.
In addition, Dan has experience advising and representing clients in connection with strategic transactions in the private funds space, as well as other significant sponsor-level matters, including GP stake deals, seed deals, joint ventures, reorganizations, succession planning, spin outs, separations and compensation plans.
Prior to joining Kirkland, Dan was Principal & Legal Counsel at Adams Street Partners, where he primarily focused on the structuring, organization, fundraising and operations of various investment products across Adams Street’s platform, including playing a meaningful role in the development of new products. Dan also provided legal support to certain of Adams Street’s deal teams in connection with investments, and provided general support to the firm in a variety of other organizational, governance and legal matters. Dan draws on his in-house experience to inform his approach, with a view towards addressing both the legal and commercial needs of his clients.
Prior to Adams Street, Dan was an associate in the Investment Funds group at Sidley Austin. Dan is a CPA (inactive) in the State of Illinois.
