Luci Hague is an associate in Kirkland & Ellis LLP’s International Trade and National Security practice in the Washington, D.C., office. Luci advises clients on complex cross-border transactional and counseling matters that touch U.S. national security and foreign investment, including reviews by the Committee on Foreign Investment in the United States (CFIUS), economic sanctions administered by Treasury’s Office of Foreign Assets Control (OFAC), export controls (ITAR/EAR), antiboycott regulations, anti-money laundering laws and regulations (FinCEN), and anti-corruption (FCPA).
Luci’s practice includes:

Advising private equity sponsors and operating companies on managing CFIUS risks across investment scenarios, including fundraising, M&A, syndication, minority investments, and exit.

Preparation of CFIUS filings and advocacy before CFIUS throughout a filing’s review and investigation, including meetings with CFIUS and its member agencies and negotiation of mitigation agreements.

Representation of borrowers, underwriters, lenders, and issuers in lending and capital markets transactions on economic sanctions, AML/KYC, and FCPA matters.

Advising private equity sponsors and hedge funds on mitigating economic sanctions, AML/KYC, and FCPA risks, including in connection with fundraising due diligence.

Advocacy before OFAC, BIS, DDTC, and CBP in connection with voluntary self-disclosures, license applications, and other filings.

Working with companies to develop and implement risk-based, tailored compliance programs, and conducting compliance trainings.
Luci has represented clients in diverse industries, including pharmaceuticals, aerospace and defense, chemicals, energy, and financial services.
Prior to joining Kirkland, Luci worked at the American Enterprise Institute, where she focused on federalism.
