• Advised several major US-headquartered private equity houses on a large variety of flow regulatory issues.
• Advised a major US private equity house on the regulatory aspects of its UK takeover offer of a listed financial services conglomerate.
• Conducted mock inspections on private equity firms to prepare them for routine regulatory audits, including briefing their most senior management.
• Shadowed firms’ regulatory audit process to assist with strategy and responses.
• Advised a number of government-related funds on a variety of UK, EU and APAC regulatory matters.
• Advised a major fund distribution platform on a large variety of UK, EU and international licensing and structuring matters.
• Advised a number of fund houses on the cross-border distribution of funds.
• Prepared senior executives for regulatory authorisation interviews.
• Advised a number of major financial institutions on the implementation of the UK Senior Managers and Certification Regime.
• Advised a number of major private equity firms and investment banks on the implementation of the Hong Kong Manager in Charge Regime (the HK version of the SMCR).
• Advised several major US-based global investment banks on a large variety of regulatory matters including in relation to strategic structural change, senior management and governance-related issues and flow advisory mandates.
• Advised many of the largest international banks on a major regulatory change impacting the conduct of bookbuilding in capital markets transactions.
• Advised major listed companies on the regulatory issues associated with their employee share plans.
• Advised on the operationalisation and roll-out of a virtual bank.
• Advised payments firms regulatory authorisation applications.
