Kirkland’s Financial Institutions Group (“FIG”) provides transactional and regulatory advice to participants in the insurance, asset management and banking industries. Our Insurance Transactions & Regulatory Practice Group advises clients on complex and high-profile transactions and regulatory matters involving the insurance industry. Our experienced team brings together deep knowledge of the insurance industry with market-leading capabilities in mergers and acquisitions, private equity and capital markets to provide the highest-quality service to clients who are operating or transacting in the insurance industry. Our integrated regulatory team provides practical, bespoke advice that is business-minded and commercial, and is fully aligned with our client’s broader business and transactional goals. In addition to our best-in-class transactional capabilities, our team has broad experience with capital-constrained situations and can leverage Kirkland’s renowned restructuring group to provide creative and practical solutions to insurance groups and other industry participants facing capital issues.
Our Investment Funds Practice Group represents the largest, most active investment funds practice of any law firm in the world. In addition to the comprehensive services we provide to investment fund clients, including private fund formation, liquidity solutions and investment management and regulatory counsel and support, we are market leaders in asset management M&A, including mergers and acquisitions involving asset managers and investment management firms, private equity firms, hedge funds, financial advisers, registered investment advisers and broker-dealers. Our team is also at the forefront of advising clients on strategic GP advisory matters, including advising on minority stake transactions and internal restructurings.
Our Banking & Financial Institutions practice group counsels financial institutions, banks and bank holding companies, investment banks and investors in capital formation transactions, mergers and acquisitions, complex financings and the design and development of capital-qualified debt and equity securities. We also counsel clients on complex regulatory issues, including the development of effective strategies to react to regulatory reform initiatives, and on regulatory compliance issues, enforcement actions, bank and bank holding company insolvency matters and governmental investigations. We also represent sellers and acquirers of distressed loan assets.
Attorneys in our FIG team also have significant experience in transactions involving financial technology (“FinTech”) organizations across FinTech sectors, including organizations that are focused on payments & transaction processing; banking, alternative lending & real estate technology; securities, capital markets & trading technology; InsurTech; financial healthcare information technology; and financial management solutions.
